Terms of Service

1. Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Be legally able to enter into a binding contract in your jurisdiction.
• Not be prohibited from using the Service under applicable law.
• Not have been previously banned or removed from the Service.

By using the Service, you represent and warrant that you meet all of these requirements.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and truthful information when creating your account.
• Not create more than one account or create an account on behalf of someone else.
• Notify us immediately if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. AI-Powered Matchmaking

The Service uses artificial intelligence to facilitate matchmaking. By using the Service, you acknowledge and agree that:

• AI Matchmaker: Your primary interaction is with an AI-powered matchmaker, not a human. The matchmaker uses artificial intelligence to converse with you, learn about your personality, and suggest matches.
• AI-Generated Content: Match introductions, conversation nudges, and profile insights are generated by AI. While we strive for accuracy, AI-generated content may contain errors or misinterpretations.
• Third-Party AI: Your conversations and photos are processed by third-party AI services (currently Anthropic) to provide the matchmaking experience. See our Privacy Policy for details.
• No Guarantees: We do not guarantee that the Service will result in matches, dates, relationships, or any particular outcome. Compatibility scores and AI assessments are estimates, not promises.

4. Acceptable Use

You agree not to use the Service to:

• Harass, threaten, intimidate, or harm any person.
• Post or transmit content that is illegal, hateful, discriminatory, sexually explicit, violent, or otherwise objectionable.
• Impersonate another person or misrepresent your identity, age, or affiliation.
• Solicit money, goods, or services from other users, or use the Service for commercial purposes.
• Share contact information (phone numbers, social media handles, addresses) in ways that circumvent the platform's safety features.
• Attempt to extract, scrape, or reverse-engineer the AI matchmaker or matching algorithm.
• Use automated tools, bots, or scripts to interact with the Service.
• Circumvent or interfere with security features, rate limits, or access controls.

We reserve the right to remove content and suspend or terminate accounts that violate these rules, at our sole discretion.

5. User Content

You retain ownership of the content you submit to the Service (messages, photos, profile information). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely for the purpose of operating and improving the Service, including:

• Processing your conversations with the AI matchmaker.
• Generating match introductions and compatibility assessments.
• Analyzing photos for matchmaking purposes.
• Content moderation and safety enforcement.

This license terminates when you delete your account, subject to reasonable backup and archival retention periods.

6. Safety and Interactions With Other Users

We provide tools to help protect your safety, including content filtering, user reporting, and blocking. However:

• We are not responsible for the conduct of users. We do not conduct background checks or verify the identity of users. You interact with other users at your own risk.
• You are solely responsible for your interactions with other users, both on and off the platform.
• If you choose to meet someone in person, take reasonable safety precautions: meet in public places, tell a friend, and trust your instincts.

If you experience threatening or harmful behavior from another user, please use the report and block features immediately and contact local authorities if appropriate.

7. Assumption of Risk

You expressly understand and agree that your use of the Service, including any interactions with other users you meet through the Service, is at your sole risk. You voluntarily assume all risks associated with using the Service, including but not limited to:

• Physical harm, injury, emotional distress, or death resulting from interactions with other users, whether online or in person.
• Financial loss, fraud, theft, or property damage caused by other users.
• Exposure to content or conduct that is offensive, harmful, inaccurate, or otherwise objectionable.
• Any consequences arising from information you share with other users or decisions you make based on AI-generated content.

You acknowledge that Find My Person is a technology platform that facilitates introductions and does not screen, vet, investigate, or conduct background checks on users. We make no representations or warranties regarding the character, integrity, safety, or conduct of any user. By using this Service, you release Find My Person from all liability for any claims, damages, or losses arising from your interactions with other users.

8. Subscription and Payments

Certain features of the Service may require a paid subscription. If you purchase a subscription, you agree to the following:

• Billing: You authorize us (or our payment processor, Stripe) to charge your payment method for all applicable fees. Payment obligations are non-cancelable and fees are non-refundable except as expressly stated herein.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from your account settings.
• Price Changes: We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing period.
• Failed Payments: If your payment fails, we may suspend or terminate your access to paid features until payment is successfully processed.

9. No Refunds

All subscription fees are final and non-refundable. When you purchase a subscription, you acknowledge and agree that payment obligations are non-cancelable and all fees paid are non-refundable, regardless of whether you use the Service, whether you are matched with other users, or whether you cancel your subscription before the end of the billing period.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until your subscription expires, but no partial or prorated refunds will be provided.

10. Intellectual Property and Trade Secrets

The Service, including its design, AI matchmaker persona, matching algorithms, scoring methodology, user interface, code, databases, and all associated intellectual property, is owned by Find My Person and protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

Trade Secrets: The matching algorithms, compatibility scoring systems, AI prompts and configurations, and conversation analysis methods used by the Service constitute valuable trade secrets of Find My Person. You agree not to disclose, publish, or otherwise reveal any proprietary information about how the Service operates, including specific matching criteria, scoring weights, or AI behaviors you observe through use of the Service.

Prohibited Activities: You expressly agree not to, directly or indirectly:

• Copy, reproduce, modify, adapt, translate, or create derivative works of any part of the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of any part of the Service.
• Extract, scrape, harvest, or mine data from the Service for any purpose, including to build competing products or services.
• Use knowledge or insights gained from the Service to design, develop, or assist in the development of any competing matchmaking product, service, or algorithm.
• Benchmark, analyze, or study the Service for the purpose of replicating its functionality.
• Probe, test, or analyze the AI matchmaker to extract its prompts, training methodology, or behavioral patterns.
• License, sell, resell, transfer, assign, distribute, or otherwise commercially exploit any part of the Service.

Injunctive Relief: You acknowledge that any breach of this section would cause irreparable harm to Find My Person for which monetary damages would be inadequate. Accordingly, Find My Person shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity, without the requirement of posting a bond.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any AI-generated content, match recommendations, or compatibility assessments.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Find My Person and its officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, regardless of whether such damages are based on warranty, contract, tort (including negligence), statute, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.

This includes, without limitation, damages arising from: (a) your interactions with other users, whether online or offline, including any physical harm, injury, emotional distress, or death; (b) any AI-generated content, including match introductions, compatibility assessments, or conversation suggestions; (c) unauthorized access to your account or data; (d) any conduct or content of third parties on the Service; (e) any failure to meet a match or find a relationship; or (f) any reliance on information provided through the Service.

Maximum Liability Cap: In no event shall the total aggregate liability of Find My Person exceed the greater of (a) the total amount you have paid to Find My Person in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100.00). This limitation applies to all claims in the aggregate, not per incident.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Find My Person, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorney's fees) arising out of or in any way connected with:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your content, including any information you provide to the AI matchmaker.
• Your interactions with other users, whether online or in person.
• Your violation of any third-party rights, including privacy or intellectual property rights.
• Any claim that your conduct caused harm to another user.
• Any misrepresentation made by you.

You agree to cooperate fully in the defense of any such claim. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense.

14. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at maya@findmyperson.ai and attempt to resolve any dispute informally for at least thirty (30) days.

Binding Arbitration: If we cannot resolve a dispute informally, you and Find My Person agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Find My Person (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if they qualify.

Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by another mutually agreed arbitration provider. The arbitration shall take place in New Castle County, Delaware, or remotely via video conference at the arbitrator's discretion. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You and Find My Person agree that any proceedings to resolve Disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration. If this class action waiver is found unenforceable, the entirety of this arbitration agreement shall be null and void.

Time Limitation on Claims: You agree that any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Failure to file within this period shall result in the permanent barring of such claim.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in New Castle County, Delaware.

15. Account Termination

You may delete your account at any time. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

We may suspend or terminate your account at our discretion if we believe you have violated these Terms, pose a safety risk to other users, or for any other reason with or without notice.

16. Modifications to the Service and Terms

We reserve the right to modify the Service or these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

17. Force Majeure

Find My Person shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, riots, civil unrest, government actions, labor disputes, power outages, internet or telecommunications failures, cyberattacks, pandemics, epidemics, or other force majeure events. During any such period, our obligations under these Terms shall be suspended.

18. Severability and General Provisions

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Find My Person regarding your use of the Service and supersede all prior agreements and understandings.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Find My Person.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19. Survival

The following provisions shall survive the termination or expiration of these Terms: Sections 5 (User Content license), 7 (Assumption of Risk), 9 (No Refunds), 10 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution and Arbitration), 17 (Force Majeure), 18 (Severability and General Provisions), and any other provisions that by their nature should survive termination.
